EDDix, L.L.C. ("EDDix" or "we" or the "Company") provides independent research, analysis and reporting services, primarily to its enrolled membership base ("Members") subject to the terms and conditions set forth hereunder ("Terms").

Membership is only available to qualified professionals.  The Company will review and approve all Membership applications and enrollment forms and will, in its sole discretion, determine eligibility and extend invitations to selected individuals and companies to become Members.  The Company reserves the right to revoke Membership and privileges attendant thereto for any reason at any time without prior notification and without explanation.

By enrolling, accepting Membership, or accessing and using the Company's private, Members-Only web site ("Member Site"), you agree to these Terms .

This Member Agreement ("Agreement") describes the rights and obligations of the Company and Members to one another. Provisions of each of the Company's Privacy & Confidentiality Policy and its Terms of Use document are hereby incorporated by reference.

Membership Benefits

As a Member, you will join a select group of thought-leaders whose daily activities are, in aggregate, shaping the Electronic Data Discovery ("EDD") landscape.  Our goal is to leverage the combined knowledge, influence and insight of each Member to the benefit of the entire Membership base.

Specific benefits of Membership include:

•  Significant Discounts on Research Purchases.  Members purchasing full research project reports automatically receive a 45 % discount from the then-current published retail price charged to non-Members.

•  Free Top-Line Summaries of All Research Project Reports.  At publication of the results of each research project, Members will receive access to a top-line executive summary at no cost.

•  Free Access to Members-Only Web Site.  In addition to providing (paid) on-line access to the Company's proprietary research and (free) access to top-line research summaries, Members have unlimited and free access to other features of the Member Site including news, RSS feeds, and community dialog.

•  Shape the Research.  Prior to fielding each research project, the Company will post outlines and invite Member comments - you can suggest changes to research dimensions, metrics or specific questions or even recommend entirely new dimensions, metrics and questions.  While we will not be able to accomodate every request, we aim to be responsive to our Members.

Membership Requirements

As indicated above, Membership is restricted to qualified professionals, as determined by the Company.  The following sets forth key Membership requirements.

•  Member Profile.  One of the Company's primary objectives is to establish and maintain a robust community of stakeholders whose professional focus, practice and interests create meaningful exposure to, and interaction with critical issues and developments in the EDD market.  Accordingly, our target Member profile includes practitioners, decision-makers, influencers, and suppliers from the principal stakeholder groups including: law firms, accounting firms, public reporting companies, enforcement, judiciary, regulatory, and legislative, as well as product-service suppliers, consultants, researchers, and trade press facing off against both markets and other stakeholders.

•  Organizational Affiliation.  Membership is limited to professionals who have a direct business relationship (e.g. owner, partner, executive, manager, consultant) with a bona fide stakeholder organization.

During the registration process, you will be asked for your business email address for, among other purposes, verification of affiliation.  In our review process, we will be looking for email addresses which feature an organization's domain name (e.g. JoeDokes@OrganizationName.com).  Therefore, we regret that we cannot process enrollments using personal email addresses and will be automatically screening out all email addresses with retail domain names (e.g. JanetDokes@msn.com . @aol.com, @yahoo.com, @juno.com, etc.).

If you are a sole practitioner using an email account with a retail domain name, please send an email stating same to membership@eddixllc.com and we will handle your enrollment separately

•  Membership Fees.  There are no fees associated with Membership.

Member Rights and Obligations

While Membership is free, acceptance of Membership confers both rights and obligations as described below.

•  Enrollment.  You agree to provide the Company true, accurate, current and complete registration and enrollment information.

•  Participation in Research.  On a periodic basis - quarterly or less - we will ask you to participate in one of our current research projects. Generally, this will involve responding to a modest-length form of interview or questionnaire - online or via mail, fax, or phone.  No travel or physical meetings will be required - we just want you're a bit of your time, your attention, your knowledge, and your insights.

You agree that, to the best of your ability and within the relevant parameters, if any, provided by your organization, your responses to research questions will be true, accurate, current and complete.

Your participation in selective research projects is a requirement of Membership.

As a Member, we will make you aware of all research projects as we plan and field them.  If your participation is needed, you will be provided ample advance notice; additionally, you will have advance access to the specific research design and questions.

Should you be unable to participate in a selected research project, we simply require timely advance notification (via quick and simple RSVP response device we will provide).

Given your timely notice to us, your inability to participate in a specific research project will not adversely impact your Membership status; however, repeated failure to participate is a violation of this Agreement and is grounds for cancellation of your Membership.  In the event your Membership is cancelled by the Company for non-participation, you hereby agree that the Company has the right to assess a termination fee equal to any discounts you have received as a Member for purchase of Company research.

•  Confidentiality.  As demonstrated in the EDDix Privacy & Confidentiality Policy, protecting the confidentiality and privacy of Member information is of critical concern to the Company.

We will never voluntarily publish, release or otherwise communicate any Member-identifiable information including, without limitation, contact information and research responses.  Additionally, we will not sell, barter, trade or otherwise supply Member information to any other business, firm, or organization.

All research responses are coded and aggregated prior to analysis and reporting so that responses cannot be attributed to an individual Member or affiliated organization.

•  Membership Cancellation.  You may cancel your Membership at any time by stating same in an email directed to membership@eddixllc.com.

•  Communications.  Periodically, the Company may send you a simple email providing information about research project status, new features available at the Member Site and benefits arising out of your Membership ("EDDix Email").

Consistent with the EDDix Privacy & Confidentiality Policy, this email will not contain any advertising or promotion from third parties - it will only contain information relevant to your Membership.

The EDDix Email is separate and apart from any newsletters or other alerts to which you have voluntarily subscribed and may, at any time, unsubscribe.  You will not be able to opt out of receiving the EDDix Email.

You agree to permit the Company to communicate on its Site and in other marketing collateral the fact of your organization's membership.  We will not, without your express written permission, identify your personally, nor will we provide any additional information about your organization that is not already in the public domain.

 

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Connecticut without reference to the principles of conflicts of laws thereof.

Consent -- Changes to Membership Agreement

By enrolling, accepting Membership, or accessing and using the Member Site, you consent to the Terms as set forth in this Membership Agreement and elsewhere on the Site.

We reserve the right to make changes to this Membership Agreement from time to time.  We will alert you to any such changes by updating this document.  These Terms were last updated on 1 June 2004.
