The copyright for all information (past, present and future) that appears at this Website is held by EDDix, LLC.  Any information posted on this Site's Forums becomes the property of the Company.  Any duplication, reproduction or distribution of materials found at this Website, in whole or part, or use of this material, is expressly prohibited without the express written consent of EDDix, LLC.  By posting on this Sites Forums, you grant EDDix, LLC the unrestricted right to use, reproduce, translate and distribute any material you place on the site.  EDDix, LLC reserves the right (but undertakes no duty) to review, edit, move or delete any material from Site Forums, at its sole discretion.

Use of Site Content

The Company hereby grants you a non-exclusive, non-transferable license to access and download, display, and print one copy of content and functionality displayed on the Site (the "Site Content") on a single computer solely for your individual business use, provided that you do not modify the Site Content in any way and that you retain all copyright and other proprietary notices displayed on the Site Content.  You may not otherwise reproduce, modify, distribute, transmit, post, or disclose the Site Content without the Company's prior express written consent.

A significant portion of Site Content, including many of the features, functions and benefits of the Site are restricted to Members who have registered and been accepted by the Company.  While there is no cash cost for Membership and the Company believes there are numerous benefits to Membership, there are responsibilities as well as eligibility requirements.  For additional information, please read the EDDix Membership Agreement.

Some Site Content - such as the Company's "Products" -- is available ONLY by purchase from the Company and is subject to additional conditions. Use of the Products is subject to those conditions which are hereby incorporated by reference. If there is any inconsistency between these Terms and additional conditions, the provisions of the additional conditions shall control.

Postings and Conduct

You agree to provide the Company true, accurate, current and complete registration and enrollment information and agree to promptly update that information as it changes.

You are responsible for maintaining the confidentiality of any passwords, Product unlock codes, and such other security codes as we may make available to you.  You agree not to reveal your password or other security to anyone else nor will you use the password or security code of anyone else; and you agree to notify us immediately of unauthorized use of your passwords or other security codes or any other breach of security.

Except as provided in the EDDix Privacy & Confidentiality Policy, you acknowledge and agree that the Company shall own and have the unrestricted right to use, publish, and otherwise exploit any and all information that you post or otherwise publish on the Site in postings, survey responses, and otherwise, and you hereby waive any claims against the Company for any alleged or actual infringements of any rights of privacy, publicity, moral rights, or rights of attribution in connection with the Company's use and publication of such submissions.

You are solely responsible for all materials, whether publicly posted or privately transmitted, that you upload, post, email, transmit or otherwise make available on our Site.  You covenant that you shall not post or otherwise publish on the Site any materials that (a) are threatening, libelous, defamatory, or obscene; (b) would constitute, or that might encourage conduct that would constitute, a criminal offense, give rise to civil liability or otherwise violate law; (c) infringe the intellectual property, privacy or other rights of any third parties; (d) contain a computer virus or other destructive element; (e) contain advertising or offer to sell any goods and services for any commercial purpose; or, (f) constitute or contain false or misleading statements.

The Company does not and cannot review all information posted to the Site by users and is not responsible for such information.  However, the Company reserves the right to refuse to post and the right to remove any information, in whole or in part, for any reason in its sole discretion at any time.

By accessing the Company's Site and posting to its Forums, you agree to indemnify EDDix, LLC, its employees and representatives from any and all claims and liabilities (including legal fees) which arise from your statements, material or other submissions to Forums from any unauthorized use of material obtained via the Web Site or otherwise from your breach of the Rules of Acceptable Use.

Unauthorized access to the Company's Site and Products is unlawful and a breach of these Terms.  You agree not to access the Site or Products by any means other than the respective interfaces, processes and procedures provided by the Company including, without limitation, use of automated tools such as agents, robots, scripts, or spiders.

Notices of Infringement and Takedown by EDDix

The Company prohibits the posting of any information that infringes or violates the copyright rights and/or other intellectual property rights (including rights of privacy and publicity) of any person or entity.

If you believe that your intellectual property right (or such a right that you are responsible or enforcing) is infringed by any content on the Site, please immediately contact the Company at the email address shown below, giving a written statement that contains: (a) identification of the copyrighted work and/or intellectual property right claimed to have been infringed; (b) identification of the allegedly infringing material on the Site that is requested to be removed; (c) your name, address and daytime telephone number, and an e-mail address if available; (d) a statement that you have a good faith belief that the use of the copyrighted work and/or exercise of the intellectual property right authorized by the owner, its agent, or the law; (e) a statement that the information in the notification is accurate, and, under penalty of perjury that the signatory is authorized to act on behalf of the owner of the right that is allegedly infringed; and (f) the signature of the intellectual property right owner or someone authorized on the owner's behalf to assert infringement of that right.

The Company will remove any posted submission that infringes the copyright or other intellectual property right of any person under U.S. law upon receipt of such a statement (or any statement in conformance with 17 U.S.C. 512 (c)( 3 )).  U.S. law provides significant penalties for submitting such a statement falsely.   Under appropriate circumstances, persons who repeatedly submit infringing or unlawful material will be prohibited from posting further submissions.

The Company and its third-party content providers make no warranties express or implied, as to Site access, availability, functionality, or performance nor the ownership, accuracy or adequacy of the Site Content.

The Company shall not be liable for any indirect, incidental, consequential, or punitive damages or for lost revenues or profits, whether or not advised or the possibility of such damages or losses and regardless of the theory of liability.  Unless due to willful tortious misconduct or gross negligence, the Company shall have no liability in tort, contract or otherwise as permitted by law to any user or third party.

Some states and foreign countries provide rights in addition to those above, or do not allow limiting implied warranties, or liability for incidental or consequential damages. Therefore, the limitation may not apply to you or there may be state provisions which supersede the above. Any clause declared invalid, shall be deemed severable and not affect the validity or enforceability of the terms contains herein under the laws of the State of Connecticut.

Indemnification
